These Terms and Conditions govern access to and use of Skytex CRM, including our website, demo and trial accounts, paid subscriptions, support, integrations, APIs, Microsoft and Google app connections, and related services. By registering, requesting a demo, accepting an order form, creating an account or using the service, the customer and each authorized user agree to these Terms. If a signed agreement or order form says something different, that signed document controls for that customer.
Skytex CRM is provided by Artogama UAB, a company based in Vilnius, Lithuania. The service is intended for business use. If a person accepts these Terms for a company or other organization, that person confirms that they have authority to bind that organization.
Skytex CRM is online customer relationship management software for managing business contacts, leads, companies, activities, communications, tasks and related customer workflows. Features may include website access, mobile or desktop access, Microsoft and Google sign-in, optional mail/calendar/contact synchronization, reporting, import/export, support and other CRM-related functions.
Demo and trial access may be limited in time, users, features, data volume, storage, integrations or support.
Demo and trial data may be deleted or anonymized earlier than paid subscription data, typically within 30 days after the demo or trial period ends, unless the user converts to a paid subscription.
Paid subscriptions are provided according to the selected plan, order form, invoice or written agreement.
The customer is responsible for all users invited to or created under its account and for keeping account information accurate.
We may refuse, suspend or end demo, trial or subscription access if required for security, legal compliance, non-payment or misuse.
The customer owns and remains responsible for the data, records, files and content it or its users submit to Skytex CRM. The customer must ensure that its CRM data is accurate, lawful and collected with any required notices, consents or other legal bases. The customer must not submit unlawful, infringing, harmful, misleading, malicious, discriminatory, confidential third-party, regulated or highly sensitive data unless the customer has all necessary rights and the service plan supports such use.
The customer authorizes us and our subprocessors to host, copy, transmit, display, process and use customer data only as needed to provide, secure, support and improve the service, comply with law, enforce these Terms and follow customer instructions.
Users must keep login credentials confidential and must not share accounts unless the service explicitly allows it.
Customer administrators control user access, roles, permissions, connected integrations and account settings.
The customer must promptly notify us of suspected unauthorized access, security incidents or misuse.
We may apply security controls such as rate limits, anti-abuse controls, logging, verification checks and temporary blocks to protect the service.
The customer and users must not: break the law; violate privacy or third-party rights; upload malware; attack, scan, overload, reverse engineer or bypass the service; scrape or copy the service except as allowed; resell, rent or sublicense the service unless agreed in writing; use the service to send spam or abusive communications; interfere with other customers; or use the service to build a competing product using our confidential or proprietary materials.
Skytex CRM may integrate with Google, Microsoft and other third-party services. Integrations are optional unless required for a chosen feature. The customer or user authorizes each integration and is responsible for having the right to connect the relevant account, tenant, mailbox, calendar, contact list, files or other data source.
Third-party services are governed by their own terms and policies. We are not responsible for third-party platforms, outages, security incidents, changes, limits, fees, permissions, marketplace decisions or API policy changes. If a third-party integration is changed or discontinued, we may modify or remove the affected feature.
These Terms are solely between Artogama UAB and the customer. Third-party marketplace providers, including Google and Microsoft, are not parties to these Terms and have no obligation to provide maintenance or support services for Skytex CRM.
Fees, subscription period, number of users, plan limits, payment method and renewal rules are stated in the order form, invoice, website checkout or separate written agreement. Unless stated otherwise, fees are charged for the subscription period purchased, are due in advance, and are non-refundable except where required by law or expressly agreed. The customer is responsible for applicable taxes, bank charges and accurate billing information.
If payment is late, we may charge lawful late payment interest, suspend the service after notice, restrict paid features, or terminate the subscription. Suspension does not remove the obligation to pay amounts already due.
We aim to provide a reliable service, but the service may be unavailable because of maintenance, updates, security work, internet or cloud provider issues, customer systems, third-party integrations, force majeure or events outside our reasonable control. We may improve, update, modify or discontinue features, provided we do not materially reduce the core paid service during a current subscription without a reasonable reason or notice where practicable.
Support is provided through the channels and service levels stated on the website, order form or separate agreement.
Each party must protect confidential information with reasonable care and use it only for purposes allowed by these Terms. Customer CRM data is customer confidential information. Skytex CRM software, documentation, pricing, product plans and non-public technical information are our confidential information.
For personal data in customer CRM content, the customer is normally the controller and Artogama UAB acts as processor. The customer may request a data processing agreement where required. For our own account, billing, security, marketing and legal operations, we may act as controller under our Privacy Policy.
We and our licensors own all rights in Skytex CRM, including software, design, workflows, interfaces, documentation, trademarks and related intellectual property. The customer receives only a limited, non-exclusive, non-transferable right to use the service during the subscription according to these Terms. The customer owns its customer data. Feedback, suggestions or improvement ideas may be used by us without restriction or payment, unless a separate written agreement says otherwise.
Either party may terminate according to the order form or separate written agreement. We may suspend or terminate access for material breach, non-payment, security risk, legal requirement, misuse or insolvency. After termination or expiry, the customer should export its data promptly. Unless a different written agreement applies, we may make customer data available for export for up to 30 days after termination and then delete or anonymize it, except backup, audit, billing or legal records retained as required or permitted by law.
We provide the service with reasonable skill and care. Except as expressly stated, the service is provided “as is” and “as available”. We do not promise that the service will be uninterrupted, error-free, compatible with every customer system, or that it will meet every business objective. The customer is responsible for its business decisions, compliance obligations, user training, data quality and use of CRM outputs.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business, loss of goodwill or loss of data, even if advised of the possibility. Our total aggregate liability relating to the service is limited to the fees paid by the customer for the affected service during the 6 months before the event giving rise to liability. Nothing in these Terms limits liability that cannot be limited under applicable law.
The customer must use the service in compliance with applicable laws, including data protection, electronic communications, anti-spam, export control, sanctions, tax and business laws. The customer must not use the service where prohibited by law or for restricted end users or purposes.
We may update these Terms from time to time. Material changes will be posted on our website or notified through the service where appropriate. Changes normally apply from the next renewal period, unless required earlier for legal, security or operational reasons. Continued use after the effective date means the updated Terms apply.
These Terms are governed by the laws of the Republic of Lithuania, unless mandatory law requires otherwise. The parties will first try to resolve disputes in good faith. If unresolved, disputes will be handled by the competent courts of Lithuania, unless mandatory law provides another venue.
